Association of Old Crows Republic of Korea Roost Chapter Constitution

 

Chapter 1: General Provisions


Article 1 (Name)
The name of this organization shall be the "Association of Old Crows (AOC) Republic of Korea Roost Chapter (ROK Roost Chapter: Republic of Korea Roost Chapter)."

 

Article 2 (Purpose)
The purpose of this Chapter is to contribute to academic∙technical, and operational concept research and industrial development in the field of information∙electronic warfare, and to promote information exchange among members.

 

Article 3 (Location)
The office of this Chapter shall be located within the Republic of Korea.

 

Article 4 (Activities)
To achieve the objectives stated in Article 2, the Chapter shall carry out the following activities:
1. Promotion of membership and management of members in the AOC.
2. Hosting academic conferences or seminars related to information and electronic warfare.
3. Collaborating with the Korean Institute of Electromagnetic Engineering and Science (KIEES) and AOC to disseminate technical information and hold exhibitions.
4. Promoting interaction among members.

 

Chapter 2: Membership


Article 5 (Eligibility)
Members of this Chapter must be registered with the AOC and have an interest in information∙ electronic warfare sectors.

 

Article 6 (Duties of Members)
Members shall:
1. Join the AOC.
2. Abide by the constitution and actively participate in the Chapter’s events and activities.
3. Pay dues or other required contributions when necessary.


Article 7 (Suspension of Membership)
Membership may be suspended under the following conditions:
1. A member fails to rejoin AOC within six months after their membership expires.
2. A member fails to fulfill the duties outlined in Article 6.
3. A member fails to pay dues for more than one year, resulting in automatic termination.

 

Chapter 3: Directors


Article 8 (Composition of Directors)
The Chapter shall have the following officers:
1. President
2. Vice President
3. Secretary General
4. Financial Director
5. Advisor
6. Public Relations Director
7. Editorial Director
8. Policy Director
9. Academic Director
10. Directors of Ground, Naval, and Aviation Technologies

 

Article 9 (Director Eligibility)
Directors must be AOC members who have actively and sincerely participated in Chapter activities.

 

Article 10 (Term of Director)
1. The term of director is two years, with the possibility of reappointment.
2. In case of a vacancy during the term, a replacement shall be appointed, and their term will cover the remainder of the predecessor’s term.

 

Article 11 (Election of Directors)
1. The President and Vice President are elected by a majority vote of the general assembly.
2. The Secretary General, Financial Director, PR Director, Editorial Director, and Academic Director are appointed by the President. 
3. Auditors are appointed or elected in accordance with decisions of the general assembly.
4. The Policy Director shall be the Electronic Warfare Director of the R.O.K. Joint Chiefs of Staff (ex officio).
5. The Directors of Ground, Naval, and Aviation Technologies shall be electronic warfare directors or equivalent officers from each military branch (ex officio).

 

Article 12 (Duties of Officers)
1. The President represents the Chapter and oversees all Chapter operations.
2. The Vice President assists the President and acts on behalf of the President when needed.
3. The Secretary General assists the President and handles administrative tasks, including:
A. Checking the AOC website (www.crows.org) to manage membership status, contact info, and membership validity. 
B. Reporting activities to AOC and updating director’s information. 
C. Managing communication and maintaining meeting records.
4. The Financial Director is in charger of financial matters including income and expenditure, and reports to AOC when necessary. 
5. The Advisor provides guidance on the Chapter’s financial and operational matters.
6. The PR Director promotes Chapter events and activities externally.
7. The Editorial Director manages the Chapter's website (www.crows.or.kr) and handles publishing of activity outcomes.
8. The Policy Director aligns Chapter activities with AOC policy and plans activity directions.
9. The Ground, Naval, and Aviation Tech Directors are responsible for the development strategies in their respective areas.
10. The Academic Director hosts academic events and conferences.

 

Article 13 (Board of Director Committee Function)
The Board of Director Committee, convened by the President, executes the following:
1. Reporting and collaboration with AOC.
2. Planning and executing Chapter projects and activities.
3. Drafting and reviewing the budget and financial reports.
4. Managing matters delegated by the general assembly.

 

Chapter 4: General Assembly


Article 14 (Functions)
The general assembly decides on the following:
1. Election of directors
2. Amendments to the constitution
3. Financial and activity reports
4. Other matters specified by the constitution.

 

Article 15 (Meetings)
1. The general assembly consists of regular and special meetings. Regular meetings are held annually, while special meetings may be convened by the President as needed.
2. The President must notify members in advance with the agenda of the meeting.

 

Article 16 (Quorum and Voting)
1. Meetings are convened with the members present.
2. Decisions are made by a majority of those present.
3. If a member cannot attend, they may delegate their vote to the executive board. This delegation counts as attendance and the vote follows the majority.

 

Chapter 5: Finance


Article 17 (Operational Funds)
The Chapter’s finances are supported by AOC grants, membership dues, donations, and other income.

 

Article 18 (Monthly Dues)
Monthly dues may be collected as needed.

 

Article 19 (Financial Expenditures)
Chapter funds are used for activity planning, event operations, collaboration with AOC, exchange promotion, and scholarship support etc.

 

Article 20 (Fiscal Year)
The fiscal year of the Chapter runs from December 1 of the previous year to November 30th of the current year.

 

Chapter 6: Supplementary Provisions


Article 21 (Other Matters)
1. Unless otherwise specified in this constitution, these matters shall follow common social practices.
2. This constitution shall take effect from the date of approval by the general assembly.
